SEATTLE, Jan. 20 /PRNewswire/ — Visio Corp. (Nasdaq: VSIO) today announced that it has agreed to acquire, subject to the satisfactory completion of certain closing conditions, substantially all assets of InfoModelers Inc., a privately held, leading supplier of database and data warehouse visual design, access and query tools located in Bellevue, Wash. Visio intends to incorporate substantial portions of InfoModelers' database design, modeling and query technology into future product offerings. Under the terms of the agreement, Visio will acquire substantially all the assets of InfoModelers, including its InfoModeler and ActiveQuery technology, for an undisclosed number of shares of unregistered Visio stock. Visio will account for the acquisition as a purchase with a portion of the purchase price allocated as in-process research and development. Excluding this one-time charge in the March 1998 quarter, it is not expected that the acquisition will be materially dilutive to earnings.
Fifteen of InfoModelers' current employees, including the entire engineering team and Dr. Terry Halpin, creator of the Object Role Modeling methodology, are accepting employment positions with Visio as part of this purchase. Halpin will serve as Visio's director of database strategy, reporting to Ted Johnson, the company's chief technology officer.

"Recent surveys of our Visio Professional users indicate that approximately 25 percent of these customers are currently doing database application design, and we expect that the combined strengths of these technology offerings will allow Visio Professional to become the standard in database design and documentation."
Visio Professional was first released in the United States in January 1997. In the September 1997 quarter, the product accounted for $10.8 million in revenues, or approximately 35 percent of Visio's total revenue for the quarter. Visio's May 1997 acquisition of SysDraw Software Co. has enabled the Visio Professional product and its add-on solution, Visio Network Equipment, to address corporate customers' deeper needs in the area of network design and documentation. The InfoModelers technology is also expected to give enterprise customers a more in-depth solution by deepening Visio Professional product functionality in the area of database design. Today, Visio Professional 5.0 is available in five local language versions — U.S. English, International English, German, French and Kanji — and additional language versions are planned for 1998.

After the closing of the transaction, current InfoModelers customers will be able to purchase additional licensed seats of InfoModeler from Visio Corp. for a limited time.
